The U.S. Department of Health and Human Services has published a very helpful set of sample Business Associate Agreement Provisions. How lovely when we don't have to reinvent the wheel.
You might want to bookmark that page or create a template to work from. Hat tip to Alan Goldberg, who notes, "Please be aware that the "sample" from HHS/OCR likely is not a document that should be used without the benefit of legal counsel review and advice. While it's helpful, both local law (ie, state law) and other considerations (e.g., including a provision disclaiming any third party beneficiaries under the business associate agreement), implicate enhancements."
